These Terms & Conditions (“Agreement”) govern the professional relationship between Virtexp Digital (“Virtexp”) and its clients and freelancers, ensuring clear expectations, payment policies, intellectual property rights, and confidentiality.

By engaging with Virtexp Digital, clients and freelancers agree to abide by these terms.

1. Services Provided

Virtexp Digital provides custom digital services, including but not limited to:

  • Content Creation & Creative Assets – Graphic design, motion graphics, and digital content.
  • Web Design & Development – UI/UX design, website builds, and ongoing maintenance.
  • Advergame Development – Interactive marketing experiences through games.
  • Branding & Identity Management (BrandElevate) – Full-service brand development and digital identity strategy.

Each project follows a structured workflow, which includes project proposals, revisions, and final approval steps.

2. Payment Policy

Client Payments

  • 50% upfront payment is required before project commencement.
  • 50% final payment is due before delivery and project approval.
  • Monthly subscriptions (e.g., BrandElevate) are billed automatically.

Freelancer Payments

  • Standard Freelancers: Paid after project completion and client approval.
  • Pro Freelancers: Receive 50% upfront + 50% upon completion.

Freelancer Verification

Freelancers can achieve Pro status in two ways:

  1. Manual Verification – Must submit legal identification, portfolio links, and a professional review to ensure credibility.
  2. Point-Based Upgrade – Freelancers can redeem 300 earned points for Pro status without additional verification.

 

Virtexp Digital reserves the right to revoke Pro Freelancer status if:

  • A freelancer fails to meet expected professional standards.
  • Verification documents are found to be falsified or misleading.

Tax Disclaimer:

  • Sales tax is calculated based on the applicable rate for the client’s location in accordance with local and state tax regulations.
  • Virtexp applies the appropriate sales tax percentage per region, which is charged separately and not deducted from the total invoice amount.
  • Freelancers must handle their own tax responsibilities based on their country’s regulations.

3. Revisions & Quality Assurance

Each project includes:

  • 2 rounds of revisions, with a maximum of 2 changes per round.
  • Additional revisions beyond this limit may incur extra charges, depending on the service and the nature of the requested changes.

Final Approval:

  • Clients must approve the final deliverables before project closure.
  • Once approved, no further changes will be made unless separately quoted.

4. Intellectual Property (IP) Rights

Ownership Rights

  • Clients gain full ownership of the project upon final payment.
  • Freelancers must acknowledge that work created for Virtexp Digital belongs to the client after payment.

Freelancer Portfolio Usage

  • Freelancers may showcase work ONLY if credited as “Created for a client via Virtexp Digital”.
  • Unauthorized disclosure of client projects violates this agreement.

Failure to adhere to IP rules may result in legal action.

5. Freelancer Policy & Point System

Freelancers earn points based on completed projects:

  • Standard Freelancers earn 1 point per $20 earned.
  • Pro Freelancers earn 1.5 points per $20 earned.
  • 300 points can be redeemed for Pro Verification without the standard verification process.

Freelancer Penalties:

  • Late Deliveries: Loss of points, suspension, or account termination.
  • Non-Delivery or Breach of Contract: No payment, permanent account removal, and possible legal action.

6. Confidentiality & NDA Compliance

  • Both clients and freelancers are bound by Non-Disclosure Agreements (NDA).
  • Confidential materials (including project details and creative assets) must not be disclosed or shared.

Consequences for Breach:

  • Freelancers violating confidentiality will be permanently banned.
  • Clients misusing freelancer-created assets may face legal claims.

7. Cancellation & Refund Policy

Client Cancellations:

  • No refunds if client-initiated cancellation occurs without a valid dispute.
  • Partial or full refunds may be negotiated ONLY if Virtexp Digital fails to meet contractual obligations.

Freelancer Cancellations:

  • Freelancers must complete assigned projects within deadlines.
  • Failure to deliver on time may result in penalties, payment withholding, or account suspension.

8. Use of AI in Projects

AI is used to enhance workflow efficiency but does not replace human creativity.

  • Virtexp may utilize AI tools to assist in content creation, design automation, and workflow optimization.
  • All final deliverables undergo human review and customization to maintain quality.

Clients are informed if AI is used in their project deliverables.

9. Termination & Breach of Contract

  • Virtexp Digital reserves the right to suspend freelancers or clients violating policies.
  • Fraudulent behavior, data misuse, or failure to meet obligations will result in account termination.

This document serves as a legally binding agreement between all parties involved.

10. Governing Law & Dispute Resolution

  • These Terms & Conditions are governed by the laws of North Carolina, USA.
  • Any disputes will be resolved through arbitration in Charlotte, NC.

By engaging with Virtexp Digital, clients and freelancers agree to these Terms & Conditions.

11. Final Acknowledgment

By working with Virtexp Digital, you agree to:

  • The payment, revision, and cancellation policies outlined above.
  • The intellectual property and freelancer verification rules.
  • The confidentiality and legal compliance requirements.

12. Amendments to Terms
